Please read this document carefully. Nothing in these Terms creates an employment, agency or partnership relationship between the parties.
Website operator
MSLife LLC
1111B S Governors Ave STE 21058, Dover, Delaware, United States of America
Email: hello@mindshiftlife.space
This address is also the Operator's single point of contact for Users and for authorities within the meaning of the rules on digital services. Communication takes place in English or Polish.
Nothing in these Terms limits or excludes the rights that a Consumer or a Sole Trader with Consumer Rights has under the mandatory laws of the country of their habitual residence. For Users habitually resident in Poland, this includes in particular the Polish Civil Code, the Consumer Rights Act and the Act on Providing Services by Electronic Means, and any provisions of these Terms that are less favorable to such a User do not bind them. If these Terms conflict with those laws, the laws prevail.
§2Key information for Users
Some provisions of these Terms apply only to certain categories of Users, in particular only to Consumers, only to Sole Traders with Consumer Rights, or only to Users who do not have that status. Such a limitation is always clearly stated in the provision it concerns. If there is no such statement, the provision applies to all Users.
The right of withdrawal is available to Consumers and to Sole Traders with Consumer Rights.
A Sole Trader with Consumer Rights is a natural person who concludes an agreement directly related to their business, where the content of the agreement shows that it is not of a professional nature for that person, arising in particular from the subject of their business as entered in the Polish Central Register and Information on Economic Activity (CEIDG). The provisions of these Terms on the right of withdrawal, the conformity of Digital Content with the agreement, complaints and the prohibition of unfair contract terms apply to such a User. The rules on out-of-court resolution of consumer disputes do not apply to them.
The Operator sells only Digital Content and Digital Services provided online. The Operator does not sell or deliver physical goods. Provisions referring to goods are for information only and apply only to the extent they follow directly from the law.
§3Terms of use
Unless stated otherwise, the terms of use set out in §3 to §8 apply when you use mindshiftlife.space. In certain situations other or additional terms of use or access may apply, and in such cases they are also indicated in this document.
Use of the website is not restricted by User status. It may be used by Consumers, Sole Traders with Consumer Rights and Business Users alike.
§4Types and scope of services
Through mindshiftlife.space the Operator provides the following services by electronic means:
- making the website content available, including information pages, articles and free materials, without the need to create an account;
- maintaining a User account;
- a contact form and sign-up forms;
- a newsletter, provided on the basis of the User's separate consent, for an indefinite period, with the option to unsubscribe at any time;
- the sale and delivery of Digital Content, such as online courses, recordings, downloadable materials, ebooks, meditations, templates and other digital files;
- the sale and provision of Digital Services, such as access to an app, access to a learning platform, access to groups and programs run online, and consultations and sessions held remotely.
The scope, price, access period and delivery method of each Product are described on its sales page and shown to the User before the order is placed.
The account agreement is concluded for an indefinite period and the User may terminate it at any time without giving a reason. Agreements for individual Products are concluded for the fixed period stated for the Product or for the time needed to perform the service.
§5Technical requirements
To use mindshiftlife.space and the Products you buy, you need:
- a device with internet access;
- an up-to-date web browser that supports JavaScript and cookies, for example Chrome, Safari, Firefox or Edge;
- an active email account;
- for some Products: software to play video and audio files and to read PDF files;
- for Products provided in an app: a device that meets the requirements stated on that Product's page.
Using services provided by electronic means involves typical risks, such as malware, attempts to obtain login details and unauthorized access by third parties to your account. The Operator recommends using up-to-date security software and a unique, strong password.
§6Prohibition of unlawful content
Users may not provide content of an unlawful nature. This applies in particular to content that infringes the rights of third parties, offensive content, content inciting violence or hatred, content that infringes copyright and personal data of third parties shared without a legal basis. The prohibition covers every place where a User can post content, including comments, messages, forms and the groups and community spaces run as part of the Service.
Anyone who believes the website contains unlawful content may report it to the Operator at hello@mindshiftlife.space, stating the content, where it is located and the reasons for the report. The Operator handles reports without undue delay and informs the person reporting of its decision, the reasons for it and the possibility of appealing it.
§7User account
Creating an account
A User account is created automatically on the first purchase of a Product, based on the details given in the order. You cannot register an account on your own without a purchase. The User provides all required details completely and truthfully. Failure to do so will make the Service unavailable.
The User is responsible for keeping their login details confidential and secure and uses a password that meets the highest strength standards offered by the website. The User is responsible for activities carried out with their username and password to the extent that this responsibility results from their action or omission. If the User believes their account, access details or personal data have been compromised, unlawfully disclosed or stolen, they inform the Operator without delay.
Conditions for using the account
- Accounts may not be created using bots or other automated methods.
- Unless stated otherwise, each User may have only one account.
- Unless expressly permitted, the account may not be shared with other people.
- Only an adult with full legal capacity may have an account.
Closing the account
The User may close their account and stop using the Service at any time without giving a reason, following the procedure described on the website or by sending a statement to the Operator's contact address. Closing the account does not affect access to Products already bought, unless the nature of the Product requires an account, in which case the User is informed before closing it.
Suspension and removal of the account
The Operator may suspend or remove a User account only for important reasons, which include:
- a material or repeated breach of these Terms by the User;
- the User providing content of an unlawful nature;
- sharing access details or Products with third parties in a way that infringes the rights of the Operator or its licensors;
- actions that threaten the security of the Service or other Users;
- giving false details when making a purchase;
- a reasonable suspicion that a crime has been committed or the rights of third parties have been infringed through the Service.
Before suspending or removing an account, the Operator asks the User to stop the breach and sets a reasonable deadline of no less than 7 days, unless the breach is serious, repeated or requires an immediate response for reasons of security or protection of the rights of third parties.
The Operator informs the User of the suspension or removal of the account on a durable medium, giving clear and specific reasons, the provision or law on which the decision is based and information on how to appeal. The User may appeal to hello@mindshiftlife.space within 30 days of receiving this information. The Operator considers the appeal within 14 days and informs the User of the outcome and the reasons for it.
Suspension or removal of the account does not deprive the User of the right to a refund for the unused period of access to a Product if the reason for the suspension or removal does not lie with the User. Suspension or removal for reasons that lie with the User does not release them from paying fees already due. This section does not limit the rights of Consumers and Sole Traders with Consumer Rights under the law, including the right to pursue claims under general rules.
§8Content and copyright
Content provided on the website
Unless stated otherwise or obvious, all content available on mindshiftlife.space is owned by or provided by the Operator or its licensors. The Operator makes every effort to ensure that this content does not breach the law or the rights of third parties. If a breach occurs nonetheless, the User may file a complaint using the contact details in this document, without prejudice to any other legal means of asserting their rights. All rights to the website content are reserved.
Scope of use of the content
The Operator owns and reserves all intellectual property rights to the website content. The User may use it only to the extent necessary to use the Service properly. In particular, the User may not copy, download, share, modify, translate, transform, publish, transmit, sell, sublicense, edit, transfer to third parties or create derivative works from the website content, or allow third parties to do so through their account or device.
Where expressly indicated on the website, the User may download, copy or share certain content for personal, non-commercial use only, provided that copyright notices and any other information required by the Operator are given correctly. Statutory limitations and exceptions to copyright, including permitted personal use, remain in force.
License for purchased Products
Buying a Product does not transfer copyright. The User receives a non-exclusive, non-transferable license to use the Product for their own purposes for the period stated for the Product or, if no period is stated, for an indefinite period. The license does not include the right to resell the Product, make it publicly available, use it to train third parties or use it to train artificial intelligence models.
External resources
Through the website the User may access resources provided by third parties. The Operator has no control over such resources and, to the extent permitted by law, is not responsible for their content or availability. The terms for using these resources, including any grant of rights to content, are set by those third parties or, failing that, by the applicable law.
Acceptable use
The website and the Service may be used only as provided in these Terms and by law. The User is responsible for ensuring that their use of the website or Service does not breach the law or the rights of third parties. The Operator may take appropriate and proportionate measures to protect its legitimate interests, including blocking access to the website or Service, terminating the agreement or reporting the breach to the competent authorities, when the User commits or is reasonably suspected of:
- breaching laws, regulations or these Terms;
- infringing the rights of third parties;
- clearly harming the legitimate interests of the Operator;
- insulting the Operator or third parties.
The rules on giving reasons for decisions and on appeals described in §7 apply to these measures accordingly.
§9Purchasing Products
The Operator offers only Digital Products and Digital Services provided online. Fees, deadlines and purchase terms are described below and on the pages of individual Products.
Product description
Prices, descriptions and availability of Products are shown on the website and may change without notice, although a price change does not affect orders already placed. Products are presented as accurately as technically possible, but their illustrations, including graphics, photos, colors and sounds, are for illustration only. The features of the chosen Product, including its scope, format, access period and technical requirements, are shown before the order is placed and form part of the agreement.
The Operator provides information about the functionality of the Digital Content or Digital Service, including any technical protection measures used, and about relevant compatibility and interoperability with devices and software.
Purchase process
- The User chooses a Product and checks their choice.
- The User enters the details needed to complete the order and chooses a payment method.
- Before placing the order, the User receives a summary showing the chosen Product, its features and the total price to pay.
- The User places the order using a button clearly marked as involving an obligation to pay.
Placing an order
- Placing an order means concluding an agreement and therefore the obligation to pay the price, taxes and any other fees and costs shown on the order page.
- If buying a Product requires an additional action from the User, for example providing details, specifications or wishes, the User must cooperate accordingly after placing the order.
- After placing the order, the User receives a confirmation of receipt of the order and a confirmation of the agreement on a durable medium, including these Terms, the Product description, the price and information on the right of withdrawal together with a model withdrawal form.
- All notifications related to the purchase are sent to the email address the User gave for this purpose.
Consent to delivery of Digital Content before the withdrawal period ends
If Digital Content or a Digital Service is to be made available before the withdrawal period ends, a User who is a Consumer or a Sole Trader with Consumer Rights ticks a separate box during the purchase with a statement in which they:
- give express prior consent to performance before the withdrawal period ends;
- acknowledge that they will lose the right of withdrawal once the Operator has performed.
The box is not ticked by default. Digital Content and Digital Services are made available immediately after purchase, so the order can only be placed after ticking this box. When booking a consultation, the User in the same way requests that the service begins before the withdrawal period ends.
The Operator confirms the content of the statement on a durable medium, in the email confirming the order. Without this statement and without its confirmation on a durable medium, the User does not lose the right of withdrawal.
§10Prices, promotions and reviews
Prices
Before placing an order, the User is informed of all fees, taxes and costs they will be charged. All prices shown to Consumers and Sole Traders with Consumer Rights are gross prices in US dollars and include all applicable taxes, including value added tax where it applies. The price shown with a Product is the final price and the User bears no additional costs other than those clearly stated before the order is placed.
Information on price reductions
For every price reduction of a Product, the Operator shows, next to the reduced price, the lowest price of that Product in the 30 days before the reduction. If the Product has been offered for less than 30 days, the Operator shows the lowest price from the start of sales to the day of the reduction. This rule also applies to promotional prices in pre-sales, during enrollment periods and in time-limited offers.
The Operator does not use prices personalized on the basis of automated decision-making. If such a practice is used in the future, the User will be clearly informed before placing the order.
Product reviews
The Operator publishes reviews from people who bought a Product or took part in a program. Verification is done by comparing the reviewer's details with the order records. The Operator does not publish false reviews and does not commission reviews from people who have not used the Product. The Operator does not remove negative reviews unless they break the law, infringe the personal rights of third parties or contain unlawful content. The Operator does not offer payment in exchange for a positive review.
Offers and discounts
The Operator may offer discounts or special offers on Products. Each such offer is subject to the criteria and conditions stated on the website before purchase and is granted at the Operator's discretion. Repeated offers or discounts do not create claims for the future. Discounts and offers may be valid only for a certain time or while places last. Time references refer to the time zone stated in the offer or, if none is stated, to Polish time. Information about time or quantity limits always reflects reality.
Coupons
Offers or discounts may be based on Coupons. If the Coupon conditions are breached, the Operator may lawfully refuse to perform its contractual obligations and take appropriate legal action to protect its rights. The rules stated on the offer page or on the Coupon itself take precedence over those below. Unless stated otherwise:
- a Coupon is valid only if used in the way and within the period stated on the website or on the Coupon;
- a Coupon is redeemed in full at the time of purchase and partial redemption is not allowed;
- a single-use Coupon can be used only once, for one purchase, also when paying in installments;
- Coupons cannot be combined;
- after its expiry date a Coupon is no longer valid and cannot be exchanged for cash;
- the User has no right to credit, a refund or compensation for the difference between the Coupon value and the amount actually paid;
- a Coupon is intended for non-commercial use only, and copying, counterfeiting or trading it is prohibited.
These rules do not limit the rights of Consumers or Sole Traders with Consumer Rights under mandatory law, in particular the right of withdrawal and the right to a refund of the price actually paid.
§11Payments
Payment methods
The available payment methods are shown during the purchase. Some of them may require additional conditions to be met or additional fees to be paid, of which the User is informed before placing the order. Payments are processed by independent payment service providers. mindshiftlife.space does not collect payment details (for example card details) and only receives confirmation that the payment has been completed. You will find more information in the privacy policy.
If a payment fails or is rejected by the payment service provider, the Operator is not obliged to fulfill the order and may claim from the User reimbursement of documented costs directly related to it, under general rules.
Payment in installments
The price can be paid in two or more installments, on the dates shown on the website or communicated by the Operator. Some Products may be excluded from this form of payment. The number of installments, their amounts, due dates and any additional costs are stated before the order is placed.
If the User does not pay an installment on time, the Operator asks them to pay and sets an additional deadline of no less than 7 days. Only after this deadline passes without payment does the entire remaining amount become due. Until the additional deadline passes, the Operator does not suspend access to the Product.
Subscriptions
Some Products, for example the MENTOR app, are sold as a subscription that renews automatically every month. The amount, billing period and payment date are stated before the order is placed, and further payments are charged using the same payment method. The User may cancel the subscription at any time in their account, under Subscriptions, or by writing to hello@mindshiftlife.space. Cancellation stops further payments and access continues until the end of the paid period.
Right to use the Product
The User acquires the right to use the purchased Product when the Operator receives the price or the first installment, unless stated otherwise for the Product.
§12Delivery of Products
Purchased Digital Content is delivered without delay after the agreement is concluded and the payment is recorded, and no later than the date stated on the website or before the order is placed. Delivery takes place by making the Product available in the User's account, sending a download link or sending the file to the User's email address. A purchased Digital Service is provided or made available within the time stated on the website or before the order is placed.
If the Operator does not deliver the Digital Content or Digital Service on time, a User who is a Consumer or a Sole Trader with Consumer Rights asks it to deliver. If the Operator does not deliver the Product without delay after this request or within an additional agreed period, the User may withdraw from the agreement. The User may withdraw without making a request if the Operator has stated, or it is clear from the circumstances, that it will not deliver the Product, or if the parties agreed, or it follows from the circumstances, that the delivery date was essential for the User. The price is refunded without delay and no later than 14 days after withdrawal.
To access some Products, the User may be asked to provide personal data to the extent stated on the website. The scope, purpose and legal basis for processing the data are described in the privacy policy.
§13Right of withdrawal
Unless an exception applies, a User who is a Consumer or a Sole Trader with Consumer Rights has the right to withdraw from an agreement concluded online within 14 days, for any reason and without giving a reason. Users who do not have this status cannot use the rights described in this section.
How to withdraw
To withdraw from the agreement, send the Operator a clear statement of withdrawal. You may use the model form, but you don't have to. Any clear statement is enough, for example an email to hello@mindshiftlife.space. To meet the deadline, send the statement before it expires. The Operator confirms receipt of the statement on a durable medium without delay.
Deadline
For services and for Digital Content not supplied on a tangible medium, the withdrawal period is 14 days from the day the agreement is concluded, unless the User has lost the right of withdrawal as described in §9.
Effects of withdrawal
After a valid withdrawal, the Operator refunds all payments received without undue delay and no later than 14 days from the day it receives the statement. Unless agreed otherwise, the refund is made using the same payment method the User used. The User bears no costs of the refund.
From the moment of withdrawal, the Operator stops supplying the Digital Content or Digital Service, and the User stops using it and sharing it with third parties. The Operator may block further access to the Product, in particular by blocking the account or access to the platform.
The Operator may not demand payment for the time during which the Digital Content or Digital Service was used by the Consumer or Sole Trader with Consumer Rights if the withdrawal was made in accordance with the law.
Withdrawal from a service agreement
If the User withdraws from a service agreement after expressly requesting that performance begin before the withdrawal period ends, they pay the Operator an amount proportionate to the part of the service performed up to the moment of withdrawal, calculated on the basis of the price agreed in the agreement. This obligation does not arise if the Operator did not inform the User of the right of withdrawal and its effects or did not obtain their express request to begin performance.
Rescheduling and canceling consultations
Regardless of the right of withdrawal, the User may reschedule or cancel a consultation free of charge no later than 24 hours before it begins, using the link in the booking confirmation message. The number of reschedules may be limited, of which the User is informed when booking. After a paid consultation is canceled, the Operator refunds the full amount paid using the same payment method within 14 days. A consultation from a program's pool, which the User does not pay for separately, returns to their pool when canceled.
Exceptions to the right of withdrawal
The right of withdrawal does not apply to agreements:
- for the provision of services, after the service has been fully performed, if performance began with the Consumer's prior express consent and the Consumer acknowledged that they would lose the right of withdrawal once the agreement had been fully performed;
- for the supply of digital content not supplied on a tangible medium, if performance began with the Consumer's prior express consent, the Consumer acknowledged the loss of the right of withdrawal and received confirmation of these statements on a durable medium;
- for the supply of digital content not supplied on a tangible medium, for which the Consumer does not pay a price but provides or undertakes to provide personal data, if performance has begun;
- for the provision of services, after the service has been fully performed, if the Consumer does not pay a price but provides or undertakes to provide personal data;
- for the supply of goods or services whose price depends on fluctuations in the financial market beyond the Operator's control;
- for the provision of leisure services, if the agreement specifies a particular date or period of performance;
- concluded at a public auction;
- other agreements listed in Article 38 of the Polish Consumer Rights Act concerning goods, such as perishable goods, goods made to the consumer's specifications, sealed recordings and software unsealed after delivery, newspapers and magazines, goods sealed for hygiene reasons, alcoholic beverages and urgent repairs and maintenance.
The exceptions concerning goods are for information only and follow from the law. The Operator does not sell physical goods.
Users in the United Kingdom
Unless an exception applies, Consumers in the United Kingdom have a right to cancel under UK law and may withdraw from an agreement concluded online, usually within 14 days, for any reason and without giving a reason. This right is exercised as described in this section, applying UK law where it provides a higher standard of protection. Users who are not Consumers cannot use this right.
Users in Brazil
Unless an exception applies, Consumers in Brazil have a right of withdrawal under Brazilian law. A Consumer may withdraw from an agreement concluded online within seven days of the date the agreement was concluded or the product or service was received, for any reason and without giving a reason, using the contact details in §1. Users who are not Consumers cannot use this right.
§14Conformity of Digital Content with the agreement and complaints
Conformity with the agreement
The Operator is liable to Consumers and Sole Traders with Consumer Rights for any lack of conformity of Digital Content or a Digital Service with the agreement.
Digital Content or a Digital Service conforms with the agreement if, in particular, its description, type, quantity, quality, completeness, functionality, compatibility, interoperability and availability of technical support and updates conform, and if it is fit for the purposes for which content or services of that kind are normally used and is supplied with the instructions the User can reasonably expect.
The Operator is liable for a lack of conformity that existed at the time of delivery and became apparent within two years of that time. If the agreement provides for continuous supply, the Operator is liable for a lack of conformity that occurred or became apparent during the time the Digital Content or Digital Service was to be supplied under the agreement. A lack of conformity that becomes apparent during that time is presumed to have existed at the time of delivery.
Updates
The Operator informs the User of updates, including security updates, needed to maintain conformity with the agreement, and supplies them for the period stated for the Product or, if no period is stated, for the period during which the User can reasonably expect to receive them. If the User does not install a supplied update within a reasonable time, the Operator is not liable for a lack of conformity resulting solely from its absence, provided the User was informed of the update and the consequences of not installing it, and the failure to install it was not due to errors in the instructions supplied by the Operator.
Rights in the event of a lack of conformity
If the Digital Content or Digital Service does not conform with the agreement, a User who is a Consumer or a Sole Trader with Consumer Rights may demand that it be brought into conformity. The Operator may refuse if this is impossible or would involve excessive costs. The Operator brings the Product into conformity within a reasonable time of the report, without significant inconvenience and at no cost to the User.
The User may make a statement of a price reduction or of withdrawal from the agreement when:
- bringing the Product into conformity is impossible or would involve excessive costs;
- the Operator has not brought the Product into conformity within a reasonable time or has done so with significant inconvenience;
- the lack of conformity persists even though the Operator tried to bring the Product into conformity;
- the lack of conformity is serious enough to justify an immediate price reduction or withdrawal from the agreement;
- it is clear from the Operator's statement or the circumstances that it will not bring the Product into conformity within a reasonable time or without significant inconvenience.
The reduced price bears the same proportion to the agreed price as the value of the non-conforming Product bears to the value of a conforming Product. The User may not withdraw from the agreement if the lack of conformity is minor, and a lack of conformity is presumed not to be minor.
In the event of withdrawal or a price reduction, the Operator refunds the amount due without delay and no later than 14 days after receiving the statement, using the same payment method the User used, unless the User expressly agreed to another arrangement. The User bears no costs of the refund.
Complaints
You can send complaints about Products and services provided by electronic means to hello@mindshiftlife.space. A complaint should include details that identify the User and the order, a description of the problem and the User's request.
The Operator considers the complaint and responds on a durable medium within 14 days of receiving it. If no response is given within this period, a complaint made by a Consumer or a Sole Trader with Consumer Rights is deemed to be justified.
§15Guarantees
Legal guarantee of conformity for Digital Products in the EU
Under European Union law, traders guarantee the conformity of Digital Products supplied to Consumers for at least 2 years from delivery and, for Products supplied continuously for more than 2 years, for the entire supply period. If you are an EU Consumer, the legal guarantee of conformity applies to the Digital Products available on the website under the law of the country of your habitual residence, which may give you broader rights. Detailed rules for Users in Poland are set out in §14.
Deviations from the objective requirements for conformity
Some Digital Products may have features that deviate from the objective requirements for conformity, such as interoperability, compatibility, fitness for a particular purpose or functionality. Such a deviation is binding only if the User was expressly and separately informed of it no later than at the time the agreement was concluded and expressly and separately accepted it. Information on deviations is found on Product pages and is shown during the purchase.
Updates and conformity claims
If the Operator supplies an update to a purchased Digital Product, the User installs it within a reasonable time, following the Operator's instructions. Not installing the update may result in the loss of claims only for a lack of conformity resulting from the absence of that update, and only if the User was informed of the update and the consequences of not installing it, and the failure to install it was not due to errors in the Operator's instructions.
Legal guarantee of services for Consumers in Brazil
Under the Brazilian Consumer Protection Code, non-durable services are covered by a 30-day guarantee and durable services by a 90-day guarantee, counted from the end of the service. The guarantee does not apply in the case of improper use, natural events or where the services have been maintained by anyone other than the website. The guarantee can be claimed using the website's contact details. The Operator may also offer a contractual guarantee, the terms of which are then stated with the Product. In their absence, only the statutory provisions apply.
§16Liability
Unless expressly stated or agreed otherwise, the Operator's liability for damage related to the performance of the Agreement is excluded, limited or reduced to the maximum extent permitted by law.
Towards Consumers and Sole Traders with Consumer Rights, the Operator is liable under the general rules of law. The provisions of this section excluding or limiting the Operator's liability do not apply to them to the extent that they would conflict with mandatory law, in particular with the rules on unfair contract terms.
Nature of the Products and no guarantee of results
The Products offered on the website are educational and developmental in nature. They do not constitute medical, psychological, psychotherapeutic, legal, tax or investment advice and do not replace consultation with an appropriate specialist. The Operator does not guarantee specific results, including financial, health or relationship results, because they depend on factors beyond the Operator's control. Stories and experiences of other people are shown as examples and are not a promise of the same outcome. This does not limit the Operator's liability for the Product's conformity with the agreement or for the accuracy of its description.
Indemnification
The User agrees to indemnify the Operator and its subsidiaries, affiliates, officers, directors, agents, partners and employees against all third-party claims, including legal fees, made because of or in connection with the User's culpable breach of these Terms, the rights of third parties or the law in connection with using the Service, to the extent permitted by law. This also applies to third-party claims against the Operator concerning Digital Products supplied by the User. This provision does not apply to Consumers or Sole Traders with Consumer Rights.
Limitation of liability towards Business Users
Unless expressly stated otherwise and without prejudice to applicable law, Users who are neither Consumers nor Sole Traders with Consumer Rights have no right to claim damages from the Operator or persons acting on its behalf. This does not apply to damage to life, health or physical integrity, damage resulting from a breach of essential contractual obligations or damage caused intentionally or through gross negligence, provided the User used the website properly. In all other cases the Operator is liable only for damage that was typical and foreseeable at the time the agreement was concluded.
Within these limits the Operator is not liable in particular for:
- damage resulting from interruptions or malfunctions of the website due to force majeure or events beyond the Operator's control, such as failures of telephone, power or internet lines, unavailable pages, strikes, natural disasters, viruses and cyberattacks and interruptions in the supply of third-party products, services or apps;
- loss of business opportunities and other losses, including indirect losses, such as loss of revenue, profits, expected savings, contracts, business relationships, reputation or goodwill;
- losses that are not a direct consequence of the Operator's breach of the Terms.
These limitations do not apply to Consumers or Sole Traders with Consumer Rights.
Users in Australia
Nothing in these Terms excludes, restricts or modifies any guarantee, condition, warranty, right or remedy you may have under the Competition and Consumer Act 2010 (Cth) or any similar state and territory legislation that cannot be excluded. To the fullest extent permitted by law, the Operator's liability, including for breach of a non-excludable right, is limited, at the Operator's discretion, to re-performing the services or paying the cost of having them supplied again.
Users in the USA
The provisions of this part apply only to Users habitually resident in the United States of America. They do not apply to Consumers or Sole Traders with Consumer Rights in Poland, the European Union, the United Kingdom, Switzerland, Norway or Iceland.
Disclaimer of warranties
mindshiftlife.space is provided on an "as is" and "as available" basis. Your use of the Service is at your own risk. To the maximum extent permitted by law, the Operator makes no warranties, whether express, implied, statutory or otherwise, including implied warranties of merchantability, fitness for a particular purpose or non-infringement of third-party rights. No information obtained from the Operator or through the Service creates any warranty not expressly stated in this document.
The Operator, its subsidiaries, affiliates, licensors, officers, directors, agents, partners, suppliers and employees do not warrant that the content is accurate and reliable, that the Service will meet your requirements, that it will be available at all times and in all places, uninterrupted and secure, that errors will be corrected or that the Service is free of viruses and other harmful components. You download content through the Service at your own risk and you are responsible for any damage to your device or loss of data resulting from it. The Operator does not warrant third-party products and services advertised or offered through the Service or through linked sites and is not a party to transactions with such providers. The Service may not work properly with some browsers, devices or operating systems.
Federal law, some states and other jurisdictions do not allow the exclusion of certain implied warranties, so the above exclusions may not apply to you. You may also have other rights that vary from state to state. The exclusions do not apply to the extent prohibited by law.
Limitation of liability
To the maximum extent permitted by law, the Operator and its subsidiaries, affiliates, officers, directors, agents, partners, suppliers and employees are not liable for:
- indirect, punitive, incidental, special, consequential or exemplary damages, including loss of profits, goodwill, use, data or other intangible losses, resulting from the use of or inability to use the Service;
- damage resulting from hacking, tampering or unauthorized access to the Service, the User's account or the information they contain;
- errors, mistakes or inaccuracies in the content;
- personal injury or property damage resulting from access to or use of the Service;
- unauthorized access to the Operator's servers or the personal data stored on them;
- disruption or interruption of data transmission to or from the Service;
- bugs, viruses, trojan horses and similar threats transmitted through the Service;
- errors or omissions in content and damage resulting from the use of content made available through the Service;
- defamatory, offensive or unlawful conduct of another User or a third party.
The total liability of these parties for all claims does not exceed the amount the User paid the Operator in the twelve months before the event giving rise to the claim. These limitations do not apply to the extent prohibited by law, including towards Consumers and Sole Traders with Consumer Rights in Poland and the European Union.
Indemnification
A User in the USA agrees to indemnify the Operator and its subsidiaries, affiliates, officers, directors, agents, partners, suppliers and employees against claims arising from:
- the User's use of and access to the Service;
- the User's breach of these Terms;
- the User's infringement of third-party rights, including intellectual property or privacy rights;
- the User's breach of the law;
- content submitted from the User's account, including by third parties using their login details, including misleading, false or inaccurate information;
- the User's willful misconduct.
§17Common provisions
No waiver
The Operator's failure to assert a right or provision under these Terms does not constitute a waiver of it. A waiver of a right in one case does not constitute a further or continuing waiver of that or any other provision.
Interruptions to the Service
The Operator may interrupt the Service for maintenance, updates or other changes, informing Users appropriately and in advance where possible. Within the limits of the law, the Operator may suspend or end the Service with at least thirty days' notice. In that case the Operator will allow Users to retrieve their data and download purchased Digital Content and will refund the unused, paid access period.
The Service may also be unavailable for reasons beyond the Operator's control, such as force majeure, infrastructure failures or power outages. Such interruptions are not a lack of conformity with the agreement if they are short and do not deprive the User of the use of the Product to a significant extent.
No resale
The User may not reproduce, duplicate, copy, sell, resell or exploit any part of the website and the Service without the Operator's prior express written permission, given directly or under a legitimate resale program.
Privacy policy
You will find information on the processing of personal data in the privacy policy.
Intellectual property rights
Without prejudice to the more specific provisions of these Terms, all intellectual property rights related to mindshiftlife.space, including copyright, trademark rights, patents and design rights, as well as all word and figurative marks, trade names, service marks, illustrations, images and logos, are the exclusive property of the Operator or its licensors and are protected by law and international treaties.
Changes to the Terms
The Operator may change these Terms only for important reasons, which include:
- a change in the law or its interpretation that affects the content of the Terms;
- a court ruling or a decision of a public authority concerning the content of the Terms;
- a change in the scope, type or manner of providing services, including the introduction of new Products or features or the discontinuation of existing ones;
- a change in the Operator's identification or contact details;
- a change in payment methods or conditions or in the delivery of Products;
- the need to remove ambiguities, errors or typos;
- a change in the technical requirements needed to use the Service;
- security reasons, including the prevention of abuse.
The Operator informs Users who have an account or use continuous services of a change to the Terms on a durable medium at least 14 days before the change takes effect, stating the scope of the changes. If the User does not accept the changes, they may terminate the agreement for continuous services with immediate effect before the change takes effect, at no cost. The Operator then refunds the unused, paid period.
A change to the Terms does not affect agreements concluded earlier or Products already purchased. Orders placed before the change takes effect are governed by the Terms in their previous wording. Any previous version of the Terms is available from the Operator.
Consumers in France: changes to the Terms are communicated in writing at least one month before they take effect. If a Consumer in France does not accept the changes, they may terminate the Agreement without penalty and without the right to compensation within four months of the date the changes take effect.
Assignment
The Operator may transfer, assign, novate or subcontract all or some of its rights and obligations under these Terms, taking into account the legitimate interests of the User. A transfer may not worsen the legal position of a Consumer or a Sole Trader with Consumer Rights. The User is informed of it in advance and may terminate the agreement for continuous services with immediate effect. The provisions on changes to the Terms apply accordingly. The User may not assign or transfer their rights and obligations without the Operator's written consent.
Contact
You can send any correspondence related to the use of the website to the contact details in §1, including hello@mindshiftlife.space.
Severability
If any provision of these Terms is found invalid or unenforceable, this does not affect the validity of the remaining provisions, which remain in full force.
Users in the USA: an invalid or unenforceable provision will be interpreted and reformulated to the extent necessary to make it valid, enforceable and consistent with its original intent. These Terms constitute the entire Agreement between the User and the Operator regarding its subject matter and supersede all prior agreements on that subject. The Terms will be enforced to the fullest extent permitted by law.
Users in the EU: if any provision proves invalid, ineffective or unenforceable, the parties will try to agree amicably on valid and enforceable provisions to replace it. In the absence of such an agreement, it is replaced by the applicable statutory provisions, where permitted by law. The invalidity of a particular provision does not make the entire Agreement invalid, unless that provision is essential to the Agreement or the parties would not have concluded the agreement had they known of its invalidity, or the remaining provisions would place an unreasonable burden on either party.
A provision found to be unfair towards a Consumer or a Sole Trader with Consumer Rights does not bind them, and the rest of the agreement remains in force.
Provisions that survive termination of the Agreement
The Agreement remains in force until terminated by the Operator or the User. After termination, provisions which by their nature are meant to continue remain in force, in particular:
- licenses granted by the User under these Terms remain in force for an indefinite period;
- the indemnification obligations of a User who is neither a Consumer nor a Sole Trader with Consumer Rights remain in force for five years after termination of the Agreement;
- disclaimers of warranties and representations and the provisions on release from and limitation of liability remain in force for an indefinite period, to the extent permitted by law.
§18Governing law and jurisdiction
Governing law
These Terms are governed by the law of the Operator's registered office stated in §1, regardless of conflict of laws rules. However, if the law of the country where the User is located provides higher standards of consumer protection, those standards prevail.
- Poland and the European Union: an agreement with a Consumer or a Sole Trader with Consumer Rights habitually resident in Poland is governed by Polish law. The choice of a foreign law does not deprive such a User of the protection afforded by provisions that cannot be excluded by agreement, in accordance with Regulation (EC) No 593/2008 (Rome I). The same principle applies to Consumers in other EU countries with respect to the law of the country of their habitual residence.
- Switzerland: Swiss law applies to Consumers in Switzerland.
- Brazil: if the User is a Consumer in Brazil and the product or service is placed on the market in Brazil, Brazilian law applies.
Jurisdiction
The courts competent for the location of the Operator's registered office stated in §1 have exclusive jurisdiction over disputes arising from these Terms.
- Consumers in Europe: the above does not apply to EU Consumers, Sole Traders with Consumer Rights in Poland or Consumers in the United Kingdom, Switzerland, Norway and Iceland. A Consumer in Poland may bring an action before the court competent for their place of residence, and an action against them may be brought only before that court.
- Brazil: the above does not apply to Consumers in Brazil.
- United Kingdom: Consumers in England and Wales may bring proceedings before the courts of England and Wales, Consumers in Scotland before the Scottish or English courts, and Consumers in Northern Ireland before the Northern Irish or English courts.
- USA: this provision applies only to Users habitually resident in the United States. Each party waives the right to a jury trial. Claims are heard individually and neither party will join a class action or any other proceeding with or on behalf of other persons.
§19Accessibility
The Operator makes every effort to ensure that the website content is accessible to people with disabilities, taking into account the requirements of the laws implementing Directive (EU) 2019/882 on the accessibility requirements for products and services, to the extent they apply to the Operator.
If a disability prevents you from accessing any part of the website, write to hello@mindshiftlife.space and describe the problem. The Operator responds to such a report within 14 days and, if the problem can be identified and fixed with standard tools and techniques, fixes it without delay.
§20Dispute resolution
Amicable dispute resolution
You can report disputes about the use of the website or the Service to the Operator, who will try to resolve them amicably. Send a complaint to hello@mindshiftlife.space with a short description of the matter and, if possible, your order or account details. The Operator will handle it without undue delay, within 14 days of receiving it. Your right to take legal action always remains unaffected.
Out-of-court complaint handling and redress
A Consumer residing in Poland may use out-of-court methods of handling complaints and pursuing claims. This is voluntary and requires the consent of both parties to the dispute. The available methods include in particular:
- an application to a permanent consumer arbitration court operating at a regional inspectorate of the Trade Inspection;
- an application to the regional inspector of the Trade Inspection to initiate mediation proceedings;
- free help from a district or municipal consumer ombudsman or a social organization dedicated to consumer protection, for example the Consumer Federation.
You will find detailed information and a list of authorized bodies on the website of the Polish Office of Competition and Consumer Protection (UOKiK): polubowne.uokik.gov.pl.
